Fractional ownership is when multiple people split the cost of an asset or property, each receiving a share. This type of split is common when buying expensive assets like commercial properties, warehouses & resorts.

How can NRIs invest with Nebula Slice?
NRI Investors can invest in any such opportunity through an NRO account or a domestic savings bank account in India. All other conditions and benefits remain the same for NRIs.

We currently offer a variety of hospitality products, including luxurious villas and elegant hotel suites, providing a strong return on investment (ROI).
How is Nebula Slice different from a REIT?
REITs are publicly listed instruments traded on the stock market. They also require a minimum value of Rs. 500 crores. Investors in REITs earn dividends based on the rents received from the properties included in the REITs.\nNebula Slice is a Fractional Ownership Platform that allows you to invest in selected properties and gain returns through property rent and appreciation upon sale.\nSEBI has recently introduced Small and Medium REIT regulations, enabling fractional ownership platforms with a minimum AUM of Rs. 50 crores to register as SM REITs.we are committed to adhering to SEBIs best practices.
Investments
How do I buy a fraction of the property?
Buying a fraction of a property on our site is very simple. You can either submit an Expression of Interest (EOI) during the EOI period or purchase it directly when it becomes available on our platform.
Do you have EOI for fraction of the property?
Yes there will be EOI for most of the property as an opportunity to buy your favourite fractions.
What documents are required to invest?
We would require only two details to begin the investment process: A. PanCard B. Address proof
Do I need to be physically present to buy a fractional asset ?
Nebulaslice is there for you! No, you do not require to be physically present. The entire process is online.
Can I personally visit the property before I buy fraction of the property?
Ofcourse , you may fix up with the representative and they will be happy to assit you and show you the property you are going to invest in
What are the opportunities for investment?
We offer various Grade-A commercial property investment opportunities, from commercial to income generating Assets. Our asset management company conducts thorough legal and technical due diligence before listing on our platform to maximize returns for each fractional investors.
How are the investments structured?
For each asset listed on the platform, a Special Purpose Vehicle (SPV) is created in which funds are raised to purchase, own and manage the property. Your investment shall be towards subscription of the shares and compulsorily convertible debentures of the SPV that holds the property and represents your fractional investment. Nebulaslice will provide asset management services to the SPV and undertake accounting, secretarial, reporting, leasing, maintenance, and other operational aspects under the asset management services contract with the SPV.
What is the minimum investment needed to invest in your fractional ownership?
The minimum investment needed for buying a slice of fractional ownership is Rs 14,00,000
How do I pay for the fraction of property?
Buying a fraction of a property via our fractional ownership platform is easy and transparent. Simply use our app or website to pay, or deposit funds into the provided bank account. For bank transfers, share your UTR or IMPS details.
Do I get bank loans to buy the fraction of the property?
For now this option is not available, but we may start this in future, Please sign up for our newsletter or follow social media handles for Regular updates.
Is there any lock-in period?
Yes, there is a lock-in period of 6 months for any Fractional Asset you buy from NebulaSlice Platform
How is lock-in period beneficial to the investors?
The lock-in period prevents speculative trading, fostering long-term value appreciation of the assets. By discouraging short-term buying and selling, it promotes stability and sustainable growth, ensuring investors receive good returns and appreciation over time.
How long should I hold these assets for?
For optimal returns, a 4-5 year investment horizon is recommended. However, we offer exits after the lock-in period, which varies by asset class (details on the asset listing page).
What if I am not able to go to the location of the property?
No, there is no need to visit the property in person. All required documentation will be signed digitally through a reputed digital signature provider
What other benefits I may get while buying fraction of the property?

How many fractional shares can I own?
You can buy as many fractional shares as you like. The more shares you own, the greater your potential income and returns on investment.

If I have purchased multiple fractions, can I choose to sell just one or a few of them at a later time?
Certainly, you have the flexibility to sell individual fractions of the property at your discretion in the future.
What if I want to exit from the investment?
You can exit your investment once the initial 6 months lock-in period is complete.
Can I sell my ownership of the property?
Yes! The properties are divided into individual fractions and independent of each other, giving you the option to sell your share of the property should you choose. The first refusal will go to your co-owners, after which you can choose to sell through an agent of your choice.
Can my fractional shares be transferred to a family member upon my death?
Yes, your fractional shares can be transferred to a family member or nominated legal successor upon your death.

Do you give any agreements when I buy fraction of the property?
Yes, we execute agreements when you buy a fraction of the property. Initially, there will be an Agreement for Expression of Interest (EOI), followed by a shareholders agreement once the sale of fractions process is completed.
What documents will I receive against my investments?
We will provide you with the following documents: A. Investment Agreement B. Share Certificate C.Agreement for Sale D. Debenture Certificate E. Letter of commitment paying MG on investment
What is an SPV?
A Special Purpose Vehicle is an entity incorporated/created under the law, being a Partnership firm, LLP, a private company, etc., for a specific lawful purpose. Any investment opportunity listed on the platform will be owned by an SPV being a private limited company set up for this specific purpose.
Do I need to do my KYC?
Yes KYC is mandatory requirement to receive the earlings to your bank account .
Will the asset be registrated in my name?
The Asset will not be registered in any investors name. A special purpose vehicle (SPV) will be created comprising all the investors and the property will be registered only in the name of the SPV. The investors will have a shareholding in the SPV based on the proportion of their investment and will own equity shares and debentures in the SPVs. Simply, The Investor is the shareholder of the SPV who own the underlying Asset.
Are there any legal requirements or regulations I need to adhere to as an affiliate?
Yes, affiliates are required to adhere to legal requirements and regulations relevant to their promotional activities.
Can I review the affiliate agreement or terms and conditions before joining?

Is there an exclusivity clause that prevents me from promoting similar products or services from competitors?

How are refunds handled for purchases made through affiliate links?

Taxation & Finance
How can I keep track of the performance of my asset?
You can view the performance of your investment through our online dashboard. Note that the Net Asset Value (NAV) of the property will be updated on a half-yearly basis.
Does company have an mobile app for investors?
Yes, the company provides a mobile app for investors, offering additional insights to registered users and investors.
How do you keep my personal information secure?
Your personal information is kept secure through encryption, strict access controls, and regular audits. We adhere to privacy regulations and minimize data collection, ensuring transparency and protection of your information.
Does Nebula Slice have a referral program?

What happens regarding any damage to the property?
Any damage to the property is handled entirely by our management company, relieving any concerns for investors.
What happens if the property doesnt get fully funded?
In the unlikely event that a property on our platform does not complete its funding target, any funds that have been committed by investors will be reimbursed to the verified bank account.
What happens to my investment if Nebula Slice Stops Operations?
The SPV that owns each property is separate from Nebula Slice(the platform). Nebula Slice acts as an asset manager, so even though we have stopped operating, the SPV can function normally under a different asset manager. Moreover, the founders of Nebula Slice have also invested in the SPV; this is an additional assurance that we will try and get the best returns for the SPV.
What are the risks when you buy a fraction of the property?
The risks associated with fractional property ownership are minimal and rare. These include fluctuations in tourism, tenancy rates, and potential natural disasters like earthquakes or heavy rains.
What are the risks?
Investing in this asset class carries risks such as tenancy, liquidity, and market fluctuations. However, our asset management firm conducts extensive due diligence to mitigate these risks. We primarily invest in pre-leased Grade-A properties with long-term leases to minimize tenancy risk. While market and liquidity risks persist, we employ strategies to navigate these challenges.
Miscellaneous
Will I get returns when I buy fraction of the property?
Yes you will receive returns on your investment. The frequency and amount of these returns vary by property and are typically distributed monthly or quarterly
what kind of returns can I expect?
You can expect 2 types of returns. 1st is Regular Rental/revenue income and 2nd one is appreciation of your asset. The longer the asset is held, the more its value increases.
When will the income start for my fraction?
Immediately once you pay the full amount of fraction; complete your registration & documentation process.
Are my returns assured?
Just like any asset class, the returns in this investment are also subject to the risks associated with the asset class
How do I get my returns? (monthly/quarterly/yearly)
Returns pay-out on your investment vary based on the property and are distributed either monthly or quarterly.
Is Tax Deducted at Source (TDS) applicable to my returns?
Yes, based on your residency, we must cut TDS before we pay the yield and appreciation amount. Currently, the TDS for Indian residents will be 10%, and for NRIâ??s it will be 20% or as per applicable rates in DTAA, subject to the availability of valid TRC and income tax provisions.
How will the returns of NRI be taxed?
NRI customers will have to pay taxes as per the tax slab defined by Indian government provided their income in India exceeds basic exemption limit.
What are the fees charged?
Other than an initial acquisition fee which varies depending on the opportunity, we charge the following -
A 2% annual management fee that is charged on the monthly/Quarterly payout.

During exit, a performance fee of 20% on the gains above a hurdle rate of 15% will be charged.
For example, let us take a scenario where a sale of property happens after 5 years. On a property fraction value of 1,00,000 lakh, hurdle amount will be 75,000 (Investment Value*15%*5 Year)
If total gain from the investment Rs. 90,000 (Rent/Return + Capital Gain) we would charge 20% on Rs. 15,000 (90,000-75000)) i.e. Rs 3,000.
The facilitation fee for selling the fraction would be calculated as follows -
Facilitation fee = (Actual resale value agreed upon with the buyer - Performance fees)*2%.
The facilitation fee will not be charged in the following cases:
If the seller has pre-arranged a buyer and only requires NebulaSlice to execute the transaction.
If the resale is for tax optimisation purposes (For e.g. transfer to immediate family members or to an HUF at the original purchase price).
In such cases, only a nominal legal fee and Prevailing Stamp duty will be levied.
